NOTICE OF INTENT BY THE CITY OF BURLINGTON TO ADOPT A RESOLUTION TO AMEND THE
COMMUNICATION SITE AGREEMENT WITH NEW CINGULAR WIRELESS PCS, LLC
PURSUANT to North Carolina General Statute 160A-272, the City of Burlington, North Carolina, intends to adopt a resolution amending the existing lease of property located at the Joe Davidson Park tower located at 3715A Rural Retreat Road, for the purpose of providing cellular and wireless internet service.
THIS FOURTH AMENDMENT TO OPTION AND LEASE AGREEMENT (“Fourth Amendment”) is dated as of the date of Lessor’s signature, and made effective as of the date of the last party to sign, by and between CITY OF BURLINGTON, a North Carolina municipal corporation (“Landlord”), with a mailing address of P.O. Box 1358, Burlington, NC 27216, and NEW CINGULAR WIRELESS PCS, LLC, a Delaware limited liability company, successor by merger with BellSouth Mobility LLC, a Georgia limited liability company (“Tenant”), by Crown Castle South LLC, a Delaware limited liability company its attorney in fact, with a mailing address of c/o Crown Castle USA Inc., 2000 Corporate Drive, Canonsburg, PA 15317.
WHEREAS, Landlord and Tenant entered into that certain Option and Lease Agreement dated November 15, 2006 (as amended and assigned, the “Agreement”), whereby Landlord leased to Tenant a portion of that property (said leased portion being the “Leased Property”) located at 3715-A Rural Retreat Road (Tax Parcel 106916), Burlington, Alamance County, North Carolina, which property is described in Book 662, Page 1 in the Alamance County Register of Deeds (“Registry”), together with those certain access, utility and/or maintenance easements and/or rights of way granted in the Agreement. The Agreement is evidenced by, and the Leased Property is described in, that Memorandum of Lease recorded on December 11, 2006, in Book 2504, Page 250 in the Registry; and
WHEREAS, Landlord and Tenant entered into that First Amendment to Ground Lease Agreement dated November 9, 2011, which extended the term of the Agreement to November 14, 2021, among other changes, a memorandum of which is recorded in Book 3061, Page 820 in the Registry; and
WHEREAS, Landlord and Tenant entered into that Second Amendment to Ground Lease dated September 26, 2013, which amended the description of the Leased Property to add an additional utility easement, among other changes, a memorandum of which is recorded in Book 3272, Page 413 in the Registry; and
WHEREAS, Landlord and Tenant entered into that Third Amendment to Ground Lease Agreement dated January 2, 2018, which extended the term of the Agreement to November 14, 2041, among other changes, a memorandum of which is recorded in Book 3737, Page 639 in the Registry; and
WHEREAS, the term of the Agreement commenced on November 15, 2006, and has an original term, including all renewal terms, that will expire on November 14, 2041; and
WHEREAS, Landlord and Tenant now desire to further amend the terms of the Agreement as provided for herein.
NOW THEREFORE, in exchange for the mutual promises contained herein, Landlord and Tenant agree to amend the Agreement as follows:
1. Any capitalized terms not defined herein shall have the meanings ascribed to them in the Agreement. The recitals in this Fourth Amendment are incorporated herein by this reference.
2. Landlord hereby leases to Tenant that certain 380 square feet of land shown and described in Exhibit A attached hereto as the “Additional Land”, and described as the “Additional Land” by metes and bounds on Exhibit B attached hereto, and same shall hereafter be part of the Leased Property leased to Tenant under the Lease (“Additional Land”). The Leased Property, from and after the date of this Fourth Amendment, shall be that approximately 2,378 square feet, as same is cumulatively shown as the “Tower Lease” on Exhibit A attached hereto, and described as the “Tower Lease” by metes and bounds on Exhibit B attached hereto. The Agreement is hereby amended to reflect such increase in the size of the Leased Property and Exhibit A and Exhibit B attached hereto shall supplement any and all existing descriptions of the Leased Property.
3. The description and location of the easements and rights of way granted in the Agreement for access and utilities are amended to reflect that “Access/Utility Easement” shown in Exhibit A attached hereto and described as the “Access/Utility Easement” by metes and bounds on Exhibit B attached hereto, and Landlord does hereby grant same to Tenant for those uses provided for in the Agreement. Exhibit A and Exhibit B attached hereto shall replace any and all existing descriptions of the easements and rights of way for access and utilities granted in the Agreement; provided, however, in the event the location(s) of any of Tenant’s or its subtenants’ or licensees’ existing utilities and/or access routes are not depicted or described on Exhibit A or Exhibit B, Tenant’s easement rights over such area(s) shall remain in full force and effect.
4. Tenant shall commence payment of additional rent to Landlord for the Additional Land in the amount of Four Hundred Forty-Four and 60/100 Dollars ($444.60) per month (“Additional Land Rent”) on the first day of the first month following Tenant obtaining a building permit for the Additional Land. After commencement, the Additional Land Rent shall escalate at the same time and in the same manner as the rent set forth in the Agreement. In the event that after the date of this Fourth Amendment, Tenant enters into a sublease or license with a customer that is not already using the Communications Facility on the Leased Property, and subsequently such sublease or license requiring using of the Additional Land expires or terminates and Tenant no longer requires use of the Additional Land, Tenant may terminate its lease of the Additional Land by providing Landlord thirty (30) days prior written notice of such termination, and in the event of such termination, Tenant’s obligation to pay Additional Land Rent shall cease. Upon such termination, Tenant shall, within a reasonable time, vacate the Additional Land and restore the Additional Land to its original condition, reasonable wear and tear excepted, and same shall no longer be part of the Leased Property.
5. Pursuant to and in accordance with Section 29 of the Agreement, in the event of a sublease or license of the Additional Land as provided for in Section 4 above (namely, a sublease or license with a new customer not already using the Communications Facility on the Leased Property), Tenant agrees to pay to Landlord fifty percent (50%) of the rents or fees received from such sublease or license.
6. Section 20 of the Agreement is amended by deleting Tenant’s notice addresses in their entirety and replacing them with the following:

7. During the term of the Agreement, Tenant shall have an irrevocable option (“Option”), exercisable at any time, and from time to time, to lease up to a maximum of five hundred ninety-five (595) square feet of real property adjacent to the existing Leased Property at a location as generally depicted as the “Additional Option Lease Area” on Exhibit A attached hereto, and described as the “Additional Option Lease Area” by metes and bounds on Exhibit B attached hereto (“Additional Lease Area”) on the same terms and conditions set forth in the Agreement. If Tenant elects to exercise the Option, Tenant shall pay the same rent per square foot for the Additional Lease Area as the rent paid per square foot by Tenant for the existing Leased Property at the time Tenant exercises the Option (“Additional Lease Area Rent”). The Additional Lease Area Rent shall be due and payable on the first (1st) day of the second (2nd) full month following commencement of construction activities within the Additional Lease Area and shall escalate upon the same terms and at the same time as the Rent set forth in the Agreement. Tenant may exercise the Option for the entire Additional Lease Area in a single exercise, or may exercise the Option multiple times in increments, by providing written notice to Landlord at any time (each a “Notice of Exercise”); provided, however, that following Tenant’s delivery of the Notice of Exercise to Landlord, Tenant may at any time prior to commencement of construction activities within the Additional Lease Area withdraw its election to exercise the Option if Tenant discovers or obtains any information of any nature regarding the Additional Lease Area which Tenant determines to be unfavorable in its sole discretion. Tenant shall also have the right to record a Notice of Exercise, to be prepared on Tenant’s standard form, without Landlord’s signature to provide record notice of the exercise of the Option. The Additional Lease Area, or such portion as identified in the Notice of Exercise, shall become part of the Leased Property and subject to all terms and conditions of the Agreement, as it may have been amended, effective as of the date of the Notice of Exercise (the “Expansion Date”), whether or not the Notice of Exercise is recorded. Effective upon the Expansion Date, the Agreement shall automatically be amended to include the Additional Lease Area and Additional Lease Area Rent without the need for any further documentation. In consideration of the Option, the Tenant shall maintain the Additional Lease Area and relieve the Landlord of any maintenance obligation for the Additional Lease Area. In the event Tenant determines in its sole discretion that it no longer needs the Option, Tenant may terminate the Option by providing notice to Landlord, at which time Tenant will no longer have any maintenance or other obligations with respect to any portion of the Additional Lease Area over which Tenant has not exercised its Option.
8. Representations, Warranties and Covenants of Landlord. Landlord represents, warrants and covenants to Tenant as follows:
a. Landlord is duly authorized to and has the full power and authority to enter into this Fourth Amendment and to perform all of Landlord’s obligations under the Agreement as amended hereby. Landlord has complied with all applicable laws in entering into this Fourth Amendment, including, without limitation, any laws requiring prior public notice or opportunity for bidding on same, and Tenant is relying on such compliance in entering into this Fourth Amendment.
b. Tenant is not currently in default under the Agreement, and to Landlord’s knowledge, no event or condition has occurred or presently exists which, with notice or the passage of time or both, would constitute a default by Tenant under the Agreement.
c. Landlord agrees to provide such further assurances as may be requested to carry out and evidence the full intent of the parties under the Agreement as amended hereby, and ensure Tenant’s continuous and uninterrupted use, possession and quiet enjoyment of the Leased Property under the Agreement as amended hereby.
d. Landlord acknowledges that the Leased Property, as defined, shall include any portion of Landlord’s property on which communications facilities or other Tenant improvements exist on the date of this Fourth Amendment.
9. IRS Form W-9. Landlord agrees to provide Tenant with a completed IRS Form W-9, or its equivalent, upon execution of this Fourth Amendment and at such other times as may be reasonably requested by Tenant. In the event the Leased Property is transferred, the succeeding Landlord shall have a duty at the time of such transfer to provide Tenant with a completed IRS Form W-9, or its equivalent, and other related paper work to effect a transfer in Rent to the new landlord. Landlord’s failure to provide the IRS Form W-9 within thirty (30) days after Tenant‘s request shall be considered a default and Tenant may take any reasonable action necessary to comply with IRS regulations including, but not limited to, withholding applicable taxes from Rent payments.
10. In all other respects, the remainder of the Agreement shall remain in full force and effect. Any portion of the Agreement that is inconsistent with this Fourth Amendment is hereby amended to be consistent with this Fourth Amendment. All of the provisions hereof shall inure to the benefit of and be binding upon Landlord and Tenant, and their personal representatives, heirs, successors and assigns. This Fourth Amendment may be executed in two or more counterparts, each of which shall be deemed an original and all of which shall constitute one and the same instrument, it being understood that all parties need not sign the same counterparts.

THOMAS STEELE, JR. in his capacity as Public Administrator of the Estate of Maggie Ruth Wade (deceased), is seeking an order to determine the ownership of certain surplus proceeds resulting from a tax foreclosure upon real property located at 703 Kivett Street, Burlington, North Carolina. You may have an interest in such surplus proceeds as a potential heir of Maggie Ruth Wade who died intestate on October 24, 2020.
You are required to respond to such pleading no later than the 13th day of February, 2024, said date being 40 days from the first publication of this Notice, and upon your failure to do so, the party seeking service against you will apply to the court for the relief sought.
